## 1) Agreement to these Terms

By accessing or purchasing from our website (the “Site”), you agree to these Terms of Service and to our **Privacy Policy**, **Shipping Policy**, and **Returns Policy** (collectively, the “Policies”). If you do not agree, please do not use the Site.

## 2) Eligibility & Accounts

You must be at least the age of majority in your jurisdiction to purchase. If you create an account, you’re responsible for keeping your credentials secure and for all activity under it.

## 3) Products, Pricing & Availability

We strive to display accurate product information, but errors may occur. Prices, descriptions, and availability can change without notice. We may limit quantities, discontinue items, or refuse service where permitted by law.

## 4) Orders & Acceptance

Your order is an offer to buy. We accept only when we ship your order or otherwise confirm acceptance. We may cancel or refuse an order (for example, suspected fraud, pricing/stock errors, or delivery limitations). If we cancel after charging you, we’ll refund the full amount.

## 5) Payment, Taxes & Billing

We accept the payment methods shown at checkout. By submitting payment, you represent that you’re authorized to use the method and authorize us (and our processors) to charge the order total, including applicable taxes, shipping, and fees.

## 6) Shipping, Delivery & Risk of Loss

Shipping options, costs, and delivery estimates are shown at checkout and further described in our **Shipping Policy**. Title and risk of loss transfer when the carrier receives the shipment. Delivery dates are estimates only.

## 7) Returns, Refunds & Exchanges

Our **Returns Policy** explains eligibility, time windows, and the return process. Items must meet any condition requirements stated there. Where required by law, your statutory rights remain unaffected.

## 8) Promotions, Gift Cards & Store Credit

Promotions may carry additional terms. We may modify or cancel promotions at any time. Gift cards and store credit are non-refundable and not redeemable for cash, except where required by law.

## 9) Reviews & User Content

If you submit reviews, photos, or other content, you grant Hanley-Wood a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for marketing and operational purposes. Do not submit unlawful, infringing, defamatory, or misleading content. We may remove content at our discretion.

## 10) Acceptable Use

You agree not to misuse the Site, interfere with its operation, attempt to access others’ accounts, scrape or harvest data without permission, or use the Site for any illegal purpose.

## 11) Third-Party Services

The Site may integrate third-party services (e.g., payment processors, shipping carriers, analytics, and social/marketplace integrations). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.

## 12) Intellectual Property

All Site content (including text, images, logos, and product designs) is owned by Hanley-Wood or our licensors and protected by law. You may not use, copy, or distribute content without our written permission, except as allowed by law.

## 13) Disclaimer of Warranties

THE SITE AND ALL PRODUCTS/SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

## 14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANLEY-WOOD AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR YOUR PURCHASES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE.

## 15) Indemnification

You agree to indemnify and hold Hanley-Wood harmless from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Site.

## 16) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in **Bexar County, Texas** for any disputes not subject to arbitration (if applicable).

**Optional—Arbitration/Class Action Waiver:**
If you choose to include an arbitration clause, insert it here stating that disputes will be resolved by binding, individual arbitration and that class actions are waived. Because this affects your legal rights, consider having counsel review before enabling.

## 17) Changes to These Terms

We may update these Terms at any time by posting a revised version with a new “Effective date.” Your continued use of the Site after changes are posted constitutes acceptance.
